PENUNDAAN KEWAJIBAN PEMBAYARAN UTANG TERHADAP ANAK PERUSAHAAN BUMN (STUDI KASUS PUTUSAN NOMOR 15/PDT.SUS-PKPU/2019/PN. NIAGA MDN)

Anak perusahaan BUMN sejatinya merupakan badan hukum atau entitas terpisah dari induk perusahaannya. Namun, PTPN I dinyatakan sebagai BUMN oleh Hakim Pengadilan Niaga di Pengadilan Negeri Medan sehingga tidak dapat dimohonkan PKPU oleh Kreditornya. Hasil penelitian ini menunjukan bahwa PTPN I merupakan anak perusahaan BUMN yang memiliki kemandirian dan terpisah dari induk perusahaan sebagai pemilik saham dikarenakan adanya prinsip separate entity dan limited liability sehingga tidak bisa dipersamakan layaknya BUMN. Tindakan hukum yang dapat dilakukan oleh Kreditor terhadap penolakan Permohonan PKPU oleh Majelis Hakim PN Niaga Medan adalah dengan mengajukan gugatan secara perdata untuk menuntut PTPN I melaksanakan kewajibannya sesuai dengan apa yang sudah diperjanjikan kedua belah pihak.

Abstract

A subsidiary of state-owned enterprises is actually a legal entity or separate entity from its parent company. However, PTPN I was declared a state-owned enterprises by the Judges at the Medan District Court so that the suspension of debt payment obligation could not be applied for by its creditors. The results of this study indicate that PTPN I is a BUMN subsidiary that has independence and is separate from the parent company as a shareholder due to the principles of separate entity and limited liability so that they cannot be equated with BUMN. The legal action that can be taken by creditors against the rejection of the PKPU application by the Judges at the Medan District Court is to file a civil suit to demand that PTPN I carry out its obligations in accordance with what has been agreed upon by both parties.
